Vivaqui

1. Scope and parties

These Terms govern your use of the Vivaqui platform at vivaqui.app and any associated applications ("Platform"), operated by Boris Saydakov under the Vivaqui brand ("Vivaqui", "we", "us").

They apply to all registered users: people seeking services ("Seekers") and Providers offering services through the Platform, collectively "Users". By creating an account or using the Platform you agree to these Terms. Users must be at least 18 years old.

2. Role of Vivaqui

Vivaqui is an online marketplace and intermediary. We provide discovery, booking, payment facilitation, communication, and platform support. The underlying service contract is directly between the Provider and Seeker. The Provider, not Vivaqui, supplies and is responsible for performing that service.

Vivaqui remains responsible for duties that mandatory law places directly on the marketplace. We do not guarantee that every listing or transaction will meet a User's individual requirements or be completed.

3. Accounts

You must provide accurate information and keep it up to date. You are responsible for all activity under your account. If you suspect unauthorized access, contact us at hello@vivaqui.app. Accounts are personal and non-transferable. We may suspend or close any account that breaches these Terms or poses a risk to the Platform or its Users.

4. Provider obligations

Providers are responsible for ensuring that they are legally entitled to offer and receive payment for their services, including any registration, tax, licensing, or insurance requirements that apply to them.

Providers must deliver services as described, on time, and to a professional standard. Listings must be accurate. Providers may not redirect payment outside the Platform for bookings that originate on it.

Providers self-declare whether they offer services outside their trade, business or professional activity (PRIVATE, displayed as “Local Talent”) or as part of that activity (BUSINESS, displayed as “Professional”). This classification is based solely on the Provider's declaration and is not Vivaqui certification of tax, business or legal status or service quality. Providers remain responsible for applicable legal, tax, registration, licensing and insurance obligations. Where a Provider acts outside trade, business or professional activity, consumer-law protections that depend on contracting with a trader or business may differ.

5. Seeker obligations

Seekers must provide accurate booking information and treat Providers respectfully, giving reasonable access and cooperation needed to deliver the service.

6. Bookings

A booking is confirmed when the Platform shows it as confirmed after any Provider acceptance and payment required for that listing. Providers may decline requests before acceptance where approval is required. Once confirmed, the booking is a direct agreement between Seeker and Provider; Vivaqui facilitates but is not party to it. The Service Request feature lets Seekers post a need and receive proposals; a binding booking only exists once a proposal is accepted and any required payment is complete. Both parties must honour confirmed bookings.

7. Pricing, fees, and payments

Providers set the listed booking price for their services. The total price payable by the Seeker is shown before payment, including any taxes applicable to the booking where required. Vivaqui charges Seekers no platform fee. Vivaqui deducts its standard 15% Provider commission, unless an eligible active promotion temporarily reduces it.

Payments are processed by Stripe and payouts by Stripe Connect. Vivaqui does not store card data. Payouts are subject to Stripe's schedule and verification requirements. Where a refund, chargeback, or payment reversal relates to a Provider's service, the corresponding amount may be deducted from or recovered from the Provider to the extent permitted by law.

8. Cancellations and refunds

Seeker cancellation: terms depend on timing and are shown at booking.

Provider cancellation: if a Provider cancels a confirmed booking, the Seeker receives a full refund of the amount paid at checkout.

Platform refund: following a resolved dispute, Vivaqui may issue a full refund of the amount paid at checkout at its discretion.

Refunds are processed to the original payment method; timing depends on your bank.

9. Statutory withdrawal rights

Any statutory consumer withdrawal right applies only where required by the law applicable to the contract between the Provider and Seeker. It may not apply, for example, to certain services scheduled for a specific date or period, or after lawful full performance. Vivaqui does not grant a separate blanket 14-day withdrawal right for every booking.

The cancellation and refund rules in Section 8 are contractual marketplace rules and are separate from any statutory withdrawal right. Contact hello@vivaqui.app for platform support; the Provider remains responsible for consumer-law duties relating to the underlying service.

10. Reviews

After a completed booking, both parties may leave a review. Reviews must be honest and based on actual experience. Vivaqui does not incentivize or manipulate reviews and does not publish reviews from parties without a verified booking. Reviews containing false statements, hate speech, personal attacks, or private information may be removed.

11. Ranking

By default, discovery results are ordered mainly by listing recency. Class- or event-only results are ordered by the next scheduled time, and imminent events may receive priority in mixed results. Search terms and filters affect which results appear, and User-selected sorting may use distance, Provider booking volume, rating, price, or recency. Paid placement does not affect ranking.

12. Prohibited conduct and moderation

Users must not post false or misleading listings, use the Platform unlawfully, harass or discriminate, circumvent Platform fees, scrape or reproduce Platform content without permission, interfere with Platform operation, create duplicate accounts, or impersonate others.

Vivaqui may review, restrict, remove, or suspend content, listings, or accounts for rule breaches, illegality, fraud or safety risk, repeated poor service, payment risk, or material harm to the Platform or Users. We will give the affected Provider reasons where required and legally permitted.

13. Intellectual property

The Vivaqui brand and Platform design may not be used without prior written consent. Providers retain ownership of uploaded content and grant Vivaqui a non-exclusive, royalty-free, worldwide licence to host, reproduce, display, adapt for formatting, and use that content as necessary to operate and promote their listings and the Platform.

14. Limitation of liability

Vivaqui is responsible for operating its marketplace functions with reasonable care and for its own acts and omissions where applicable law requires. To the extent permitted by law, Vivaqui is not responsible for the professional performance, quality, safety, or fitness of a Provider's underlying service, indirect losses, or failures outside Vivaqui's reasonable control.

Nothing excludes or limits liability, rights, or remedies that mandatory law does not allow Vivaqui to exclude or limit, including applicable consumer rights.

15. Indemnification

Business Users must indemnify Vivaqui against third-party claims, losses, or reasonable costs caused by their unlawful Platform use, breach of these Terms, or infringement of third-party rights, to the extent permitted by law.

16. Data protection

Personal data is processed as described in our Privacy Policy at vivaqui.app/legal/datenschutz. The Privacy Policy is a notice and is not treated as consent where processing relies on contract, legal obligation, or legitimate interests.

17. Changes to these Terms

We may update these Terms. Material changes affecting Providers will normally be notified by email or in-Platform notice at least 30 days before they take effect, unless law, security, fraud prevention, or an urgent technical need requires a shorter period. If you do not accept a change, you may close your account before it takes effect.

18. Termination

You may close your account at any time through account settings or by emailing hello@vivaqui.app. Vivaqui may restrict, suspend, or terminate access for the reasons in Section 12, prolonged inactivity, legal requirements, or material breach. Providers will receive a statement of reasons and any notice required by applicable law unless disclosure is prohibited or an urgent exception applies.

Termination does not affect completed transactions, accrued payment obligations, or provisions that by nature continue, including liability, intellectual property, and governing law.

19. Complaints and disputes

For platform-related complaints, contact hello@vivaqui.app or use the Platform's support tools. We will review the complaint and relevant records. This does not limit any mandatory right to seek a legal or out-of-court remedy.

20. Governing law and jurisdiction

These Terms are governed by Bulgarian law, without prejudice to mandatory consumer protection laws that apply in a consumer's country of residence. Bulgarian courts have jurisdiction over disputes with business Users. Statutory consumer-jurisdiction rules remain unaffected.

21. Miscellaneous

If any provision is invalid, the remaining provisions continue in force. These Terms and documents expressly incorporated into them form the agreement between you and Vivaqui. Vivaqui may assign its rights to a successor operator; you may not assign yours without consent where applicable.
